IMPORTANT - Read these Terms of Use carefully before accessing any material on this Web site, as they govern your use of this Web site and its content.

Introduction

Any materials provided in this Web site's public area is for informational purposes only. Any materials or services provided in this Web site's Member Area is for the exclusive use of staff members of the agencies that have subscribed to membership. By accessing and using this Web site, you acknowledge that you have read these Terms of Use (The "Agreement"), whereby you understand the Agreement, and you hereby accept the terms, conditions and provisions and therefor agree to be bound by its terms, conditions and provisions. Access to and use of any HANNA material, content or service is provided conditioned upon your acceptance without modification of this Agreement. If you do not agree to the terms, conditions and provisions of this Agreement, you should not use this site. Promptly exit this Web site without accessing, using or downloading any material.

General

In this Agreement "you", "your" and "member" refer to each customer, "we", "us", "our" and "HANNA" refer to Housing Agencies National Network Alliance, Inc. and "Service" refers to the services and the web site at domain address www.hannainfo.com, its features, functions and all information made accessible through that site provided by us.

These Terms of Use form an Agreement between you and Housing Agencies National Network Alliance, Inc and its successors and assigns governing your access to and use of Service, including certain copyrighted and proprietary content of the Service made available on a membership subscription basis only.

Your use of the HANNA Web site and/or your completion of the HANNA membership subscription process constitute your acceptance of this Agreement. The individual completing the membership subscription process represents that he/she in acting on behalf of a subscribing entity and represents that he/she has authority to enter into this Agreement on behalf of such entity.

In addition to this Agreement, specific services or information contained within this Web site may be subject to additional posted terms or guidelines applicable to such services. All such terms or guidelines are hereby incorporated by reference into this Agreement.

Modification of these Terms of Use, Policies and Notices

Any and all use of HANNA's Service is subject to this Agreement, and the Housing Agencies National Network Alliance, Inc. reserves the right to modify this Agreement and any terms, conditions, provisions, policies and notices under which the HANNA Service is offered at any time, without prior notice to you, effective upon the posting of such modifications on the HANNA Web site. You are responsible for regularly reviewing these terms and conditions and other information posted on the HANNA Web site to obtain timely notice of such changes. Any change of terms shall be binding and effective upon posting of the revised Agreement on the HANNA Web site. If you do not agree to any modifications made by HANNA or to any of the terms of this Agreement, your sole remedy is to cancel your membership subscription by notifying HANNA within 15 fifteen days of such change. Subject to the immediately preceding sentence, continued use of the HANNA site or non-termination of your account after changes are posted constitutes your acceptance of this Agreement as modified.

Ownership of Materials

This web site is wholly owed and operated by Housing Agencies National Network Alliance, Inc. Unless otherwise specified, the contents of this site, including source code, text, and images are copyrighted and may not be distributed, modified, reproduced, or used, in whole or in part, without the prior written consent of HANNA, except that you may use a single copy of the site's source code, text, and imagery for nonprofit educational use, provided that you keep intact all copyright and ownership notices.

Use of Service

You shall have no ownership rights in the material contained within this web site. You shall have only the limited right to access and use the material contained within this Web site as set forth herein. Such right shall continue only as long as this Agreement remains in full force and effect. Ownership of said material and all intellectual property rights contained therein shall remain at all times with HANNA.

This web site contains proprietary material that is or may be protected by United States Copyright Law, trade secret law, and by international treaty provisions, including the content, site design, text, graphics, sound, video, interfaces, and the selection and arrangement thereof. Housing Agencies National Network Alliance, Inc. and the HANNA logo and other product and service names are trademarks and/or service marks of HANNA. Without our prior permission, you agree not to display or use in any manner, the HANNA trademarks and/or service marks. Other product and company names mentioned on the HANNA Web site may be the trademarks and/or service marks of third parties and, if so, HANNA makes no claim with respect thereto. No trademark or service mark license is granted in connection with your use of the HANNA Web site.

Personal and Non-commercial User Limitation

Unless otherwise specified, the Info Center is for your personal and non-commercial use. You are free to modify, adapt, and reproduce those documents from the Info Center library that are not proprietary. You may not distribute, transit, display, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Info Center for use by other than the specific subscribing agency.

No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes, any portion of the Service.

Membership Subscription

Upon acceptance by HANNA of your membership subscription application to access all Service, HANNA hereby grants, up to the number of concurrent users specified in the membership subscription application confirmation for which HANNA has granted you a member number(s), a limited, revocable, non-transferable, non-exclusive license to access, view, input and electronically copy and print excerpts of, the Service, solely for your personal and/or business reference use, for a period of one (1) year.

You are responsible for all use of the Service, use of your issued member number(s), the use of your user ID(s) and the password(s) chosen by you, and for payment of the annual membership subscription fee for access to the Service. You agree that the use of your member number(s), user ID(s) and password(s) shall constitute your electronic signature and be considered the equivalent of your manual written signature. All telecommunications, Internet access and other charges incurred by you in connecting to the HANNA site are your responsibility. HANNA reserves the right to change its prices, fees, or billing methods at any time, unless HANNA has agreed otherwise in writing, but any price increase shall not affect existing membership subscriptions during the annual term in which such price increase has been announced. Gold, Silver and Bronze Charter Members will not be subject to any membership subscription price increase. You agree to maintain your member number(s), user ID(s) and password(s) as strictly confidential and not to disclose them to any third party. HANNA reserves the right to reject any application for a HANNA membership subscription account for any reason.

Payment

You agree to pay the annual membership subscription fee for access to the Service, directly to HANNA and in advance of HANNA's acceptance of your membership subscription application. In the event of rejection or disapproval of your membership subscription application by HANNA, HANNA shall refund the entire annual membership subscription fee paid in advance by you.

The annual membership subscription renewal fee payment is due on or before the expiration date of your membership subscription. HANNA allows a five (5) day late-payment grace period after the expiration date before the suspension of your access to the Service. Failure to make the annual renewal fee payment within 15 days of the date of expiration will result in the termination of your access to the Service. Thereafter, renewal will require that you submit a new membership subscription application.

Term and Termination

This Agreement shall be effective as of your initial access to HANNA and shall continue in effect until terminated as provided herein.

Your membership subscription and access rights to the Service shall be governed by this Agreement and shall be effective for an initial term of one (1) year as of the date your membership subscription application for the Service is accepted by HANNA and HANNA provides to you the Member Number(s) enabling you to access the Service. Thereafter, your membership subscription and access rights to the Service may be renewed for additional one (1) year terms upon mutual agreement between you and HANNA.

HANNA may terminate any membership subscription at any time by written notice to you at least thirty - (30) days prior to the effective date of termination. In the event of such termination by HANNA, HANNA shall refund to you the unused prorated portion of your annual membership subscription fee paid in advance by you. HANNA reserves the right to collect any amount due HANNA regardless of cancellation of your subscription. You agree that your cancellation of your membership subscription is your sole right and remedy, unless otherwise agreed by HANNA in writing, with respect to any dispute whatsoever with HANNA arising out of or related to this Agreement. HANNA reserves the right to immediately without advance notice revoke the Service rights granted herein, block access to the Service and/or terminate this Agreement immediately upon a breach of this Agreement.

System Access and User Conduct

You agree to abide by all HANNA access security rules and procedures, systems, and mechanisms, and to make no attempt to disable or circumvent any such security rules and procedures, systems or mechanisms. Access to the HANNA Web site and the ability to use the services via the HANNA Web site may be denied or limited by HANNA, or be unavailable, interrupted and/or discontinued from time to time due to system difficulties or otherwise, or at HANNA's discretion, and HANNA shall have no liability for such occurrences. Users experiencing access problems may contact the HANNA Webmaster at webmaster@hannainfo.com.

Modification and/or Termination of Service

HANNA reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that HANNA shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Links to Third Party Sites and Information

The HANNA Web site may contain links to other web sites not maintained by HANNA. Such external web sites contain information created, published, displayed or maintained independently of HANNA. Links to other sites access sites that are not under the control of the HANNA and HANNA is not responsible for the content of any linked site, including without limitation any link contained in a linked site or any changes or updates to a linked site, nor does HANNA approve, endorse or certify information contained on any external or linked site. Mention of third party companies, individuals, agencies, Web sites, or products on this site is for informational purposes only and constitutes neither an endorsement nor a recommendation. Any information, including but limited to address and other contact information, remarks, suggestions, ideas, graphics or other submissions, communicated to HANNA through HANNA or otherwise shall become the exclusive property of HANNA when received by HANNA, which shall own all future and present rights therein, and may use any information submitted for any legal purpose without restriction or compensation to the person providing such information. HANNA will not be required to treat any such information or materials as confidential.

Material provided to the Info Center

HANNA does not claim ownership of the materials you provide to the Info Center. All such materials that are posted will be attributed to the contributor, where practical. Contributors may choose to remain anonymous, by name and agency, but HANNA will maintain a file of all contributors. However, by posting, uploading, inputting, providing or submitting your documents you are granting HANNA permission to use your documents.

Disclaimers

HANNA has made every effort to ensure that this site site's information is error-free up-to-date and that this site functions in a reliable manner. However, the material in this site is compiled from a variety of sources. Your sole remedy for dissatisfaction with the web site is to stop using the web site and the information obtained therein. HANNA's maximum liability shall under no circumstances exceed the total amount paid by you for the annual membership subscription period for access to the site during which any such claim arose.

Warranty and Indemnification

You represent and warrant to HANNA that your use of the materials contained within this web site will at all times comply with all applicable laws, rules, regulations, and this Agreement. You hereby agree to indemnify, defend and hold harmless HANNA and its officers, directors, employees, affiliates and subsidiaries from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including, but not limited to, legal costs and expenses and attorneys' fees) arising out of or relating to any breach by you of the foregoing representations, warranties and covenants, including any improper, illegal or unauthorized use of your member number(s), user ID(S) and/or password(s). You shall cooperate as fully as reasonably required in the defense of any claim. HANNA reserves the right, at its sole cost and expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the prior written consent of HANNA.

Governing Law

This Agreement shall be construed, interpreted and governed by the laws of the State of Texas without regard to conflicts of law provisions thereof. The exclusive forum for any dispute arising out of or relating to this Agreement shall be the United States District Court for the Eastern District of Texas, U.S.A. or appropriate state court sitting in Angelina County, State of Texas, U.S.A. If any part of this Agreement is found invalid or unenforceable by a court of competent jurisdiction the remainder of this Agreement shall be interpreted so as to reasonably effect the intention of the parties.

Waiver

No Waiver by either HANNA or you of any breach or default under this Agreement shall be deemed to be a waiver of any preceding or subsequent breach or default hereunder.
